Subject: Establishment of the Debt Relief Program
WHEREAS

Charity Helpers Foundation (EIN: 87-3593600), a 501(c)(3) public charity organized in the State of Texas, operates for the purpose of advancing charitable, educational, and humanitarian programs; and

WHEREAS

The Board of Directors recognizes the increasing burden of unpayable consumer debt, including medical debt and other distressed financial obligations, which negatively impacts individuals and families across the United States; and

WHEREAS

The Foundation has identified an opportunity to purchase portfolios of such debt at discounted rates and forgive them outright, thereby relieving individuals of financial hardship and advancing the Foundation’s charitable purpose; and

WHEREAS

The Foundation intends to raise funds for this effort through charitable donations, recurring contributions, and monetization of social media content, with all funds earmarked exclusively for the cancellation of debt portfolios and administration of this program;

NOW, THEREFORE, BE IT RESOLVED

That the Board of Directors of Charity Helpers Foundation hereby formally establishes the Debt Relief Program by Charity Helpers Foundation as an official program of the Foundation, effective immediately.

BE IT FURTHER RESOLVED

That all funds raised under the Debt Relief Program shall be restricted to the purpose of purchasing and forgiving qualifying debt portfolios and covering reasonable program administration costs.

That the Executive Director (or designee) is authorized to negotiate and enter into agreements with debt sellers, creditors, or brokers, provided such agreements are consistent with the Foundation’s charitable purpose and applicable law.

That the Board shall receive regular reports on the financial performance and social impact of the program, including the amount of debt forgiven, outreach outcomes, and donor engagement.

That the program shall be operated with full transparency to the public, including clear communications that this is a charitable initiative and not a government or commercial debt settlement service.

I, the undersigned, being the duly elected and acting Secretary of Charity Helpers Foundation, hereby certify that the foregoing is a true and correct copy of a resolution duly adopted by the Board of Directors on August 25, 2025, at which a quorum was present and acted throughout, and that such resolution is now in full force and effect.
